1. Agreement to these terms
By using ScholarAI ("the Service") you agree to these Terms of Service and to our Privacy Policy, which together form a binding agreement between you and ScholarAI, Inc., a company registered in Delaware, United States ("ScholarAI", "we", "us"). If you don't agree, please don't use the Service.
2. The Service
ScholarAI is an AI-powered research assistant. It uses AI models and third-party academic and patent databases to help you find, read, and analyse research literature, and to work with documents you upload. It's available as a web app, an API, and a GPT inside ChatGPT (use through ChatGPT is also subject to OpenAI's terms). Features and limits vary by plan, and the Service evolves — we may add, change, or remove features over time.
3. Eligibility and accounts
You must be at least 13 to use the Service, and if you're under 18 you must have a parent or guardian's permission. You agree to give accurate account details and keep your login and any API keys secure; you're responsible for activity under your account that results from your failure to keep your credentials secure. Tell us right away at support@scholarai.io if you suspect unauthorised use. We may suspend or close accounts that break these terms.
4. Acceptable use
Don't use the Service unlawfully, or in any way that could damage, disable, or impair it or get in the way of others using it, and don't try to gain unauthorised access to any part of the Service or its systems.
In particular, you must not: submit content you don't have the right to submit, or that infringes intellectual-property, privacy, or confidentiality rights; introduce malware, scrape the Service, or place unreasonable load on it; use the Service to mass-download or systematically extract content from the third-party databases it searches; reverse engineer any part of the Service except where the law permits it; attempt to bypass rate limits, plan limits, or access controls; use results deceptively or unlawfully; or share or resell your account or API keys unless your plan allows it.
ScholarAI doesn't condone using AI in academic or professional settings where it's not allowed. It's up to you to make sure your use follows your institution's or organisation's rules.
5. Subscriptions and payment
We offer free and paid plans, with usage allowances (credits) that vary by plan. Paid subscriptions are billed in advance on a recurring basis through Stripe and renew automatically until you cancel. You can upgrade, downgrade, or cancel any time in your account settings, and cancellation takes effect at the end of your current billing period.
From time to time we may offer optional add-on products or credit purchases through your account. Unless we say otherwise when you buy, these terms and our Refund Policy apply to those purchases too.
6. Refunds
Except where required by law or stated in our Refund Policy, payments already made are non-refundable. Consumers may have statutory cancellation rights, including a right to cancel certain online purchases within a set period. Where you expressly request immediate access during that period, your cancellation rights may be affected once we begin supplying the Service. Nothing in these terms limits your mandatory consumer rights. Our full Refund Policy is part of these terms; to request a refund or report a billing problem, email support@scholarai.io.
7. Intellectual property
The Service and its content, features, and functionality belong to ScholarAI, Inc. and are protected by intellectual-property laws. You may not copy, modify, distribute, sell, or lease any part of it without our permission. Papers and other third-party materials the Service retrieves for you remain their owners' property and may be subject to their own licences.
You keep ownership of the content you submit, including uploaded documents. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, and otherwise process it only as needed to provide, secure, maintain, and improve the Service, comply with law, and enforce these terms; our use of personal data is governed by our Privacy Policy. You confirm you have the rights and permissions needed for anything you submit, and you shouldn't upload confidential or sensitive material unless you have the right to do so and are comfortable with it being processed as described in the Privacy Policy.
8. Accuracy of results (important)
ScholarAI's answers, summaries, search results, and citations come from AI models and third-party data sources and are provided on a best-efforts basis. They may contain errors, gaps, or out-of-date information, and an answer or citation is not a guarantee — AI-generated text can misstate or misattribute sources. Use your own judgement and check the underlying papers yourself before relying on any result. ScholarAI is a tool to help your research, not a replacement for it.
9. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind except those the law won't let us exclude. We don't promise the Service will be uninterrupted or error-free, or that results will meet your needs.
10. Limitation of liability
As far as the law allows, ScholarAI won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of or inability to use the Service. Subject to the rest of this section, ScholarAI's total liability arising out of or relating to the Service won't exceed the greater of US$100 and the amount you paid us in the 12 months before the event giving rise to the claim. None of this limits liability that can't lawfully be excluded or restricted — including for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence — or your statutory consumer rights.
11. Your consumer rights
If you're a consumer, you have legal rights that these terms don't affect, and this agreement doesn't exclude or limit any right you have that can't be excluded or limited under applicable law.
12. Termination
You can stop using the Service and close your account any time. We may suspend or end your access if you break these terms or where the law requires it. Sections that should naturally survive termination (including intellectual property, disclaimers, and limitation of liability) keep applying.
13. Changes to these terms
We may update these terms from time to time. We'll post the new version and update the "Last updated" date, and flag material changes where appropriate. If you keep using the Service after changes take effect, that means you accept them. Changes won't retroactively affect amounts you've already paid, except where the law requires.
14. Other terms
- Third-party services — the Service relies on third-party databases, search services, and AI providers; we don't control their availability or the accuracy of their data.
- Usage limits — we may apply reasonable usage and rate limits to keep the Service reliable, and you must not circumvent them.
- Assignment — we may transfer this agreement as part of a merger, acquisition, or sale of assets; your rights under these terms aren't reduced by any transfer. You may not transfer it without our consent.
- Severability — if part of these terms is found unenforceable, the rest keeps applying.
- Entire agreement — these terms, the Refund Policy, and the Privacy Policy are the whole agreement between us about the Service.
15. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, and disputes belong to the courts located in Delaware — subject to any mandatory consumer-protection rights you have where you live.

Refund Policy

Subscription fees and credit purchases are billed in advance and are generally non-refundable, except where required by applicable law or where otherwise stated at checkout.
You can cancel at any time through your account settings. Unless applicable law requires otherwise, your access will continue until the end of the billing period and you won't be charged again.
Consumers may have statutory cancellation, refund, or other remedies where the Service is not supplied as agreed. These rights are not affected by this policy.
